1. Acceptance of Terms
By accessing and using CitySpotlight ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.
These Terms apply to all users of the Platform, including advertisers, billboard owners, and visitors.
2. Description of Service
CitySpotlight is an online marketplace that connects advertisers with billboard owners and operators. The Platform allows users to:
- Browse available billboard advertising spaces
- Book billboard advertising slots
- Manage advertising campaigns
- Process payments for advertising services
3. User Accounts
To access certain features of the Platform, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4. Booking and Payment Terms
4.1 Booking Process
When you book a billboard through the Platform, you are entering into a binding agreement subject to availability confirmation. All bookings are subject to:
- Availability of the selected billboard space
- Acceptance of your advertising content by the billboard owner
- Successful payment processing
4.2 Payment
Payment is required at the time of booking unless otherwise agreed. We accept major credit cards and other payment methods as displayed on the Platform. All prices are displayed in GBP unless otherwise stated.
4.3 Cancellation and Refunds
Cancellation policies vary by billboard and are displayed at the time of booking. Generally:
- Cancellations made 14+ days before the campaign start date may be eligible for a full refund
- Cancellations made 7-14 days before may be eligible for a 50% refund
- Cancellations made less than 7 days before are generally non-refundable
5. Advertising Content Guidelines
All advertising content displayed through the Platform must comply with applicable laws and regulations. Content must not:
- Be false, misleading, or deceptive
- Infringe on intellectual property rights
- Contain illegal or harmful content
- Violate advertising standards or regulations
- Contain adult content, hate speech, or discriminatory material
We reserve the right to reject or remove any content that violates these guidelines without refund.
6. Intellectual Property
The Platform, including its content, features, and functionality, is owned by CitySpotlight and protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any advertising content you submit, but grant us a license to display and distribute it as necessary to provide our services.
7. Limitation of Liability
To the maximum extent permitted by law, CitySpotlight shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Any damages arising from billboard availability, visibility, or performance
- Third-party actions or content
Our total liability for any claim shall not exceed the amount paid by you for the specific booking giving rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless CitySpotlight, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from:
- Your use of the Platform
- Your advertising content
- Your violation of these Terms
- Your violation of any third-party rights
9. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination:
- Your right to use the Platform ceases immediately
- Outstanding payments remain due and payable
- Provisions that by their nature should survive termination shall remain in effect
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
